GearSwitchr Terms of Service

1. About GearSwitchr

GearSwitchr, LLC ("GearSwitchr," "we," "our," or "us") operates an online marketplace located at https://www.gearswitchr.com (the "Site") through which users may buy, sell, and trade firearm accessories, tactical gear, and related items. We do not broker, warehouse, or inspect listed items, and we are not a party to any transaction between buyers and sellers. GearSwitchr does not process payments, provide escrow, or arrange shipping.

2. Eligibility

1. Age. You must be at least 21 years old (or the age of majority where you reside, whichever is higher) to create an account and use the Service.
2. Legal use. You may only use the Service if doing so does not violate any federal, state, or local law applicable to you, including laws governing the sale or possession of firearm components or accessories.
3. Prohibited Persons. Individuals prohibited from possessing firearms or ammunition under 18 U.S.C. § 922 (g) and (n) or similar state laws may not use the Service.

3. Account Registration

To access certain features you must create an account and provide accurate, complete information. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us immediately at support@gearswitchr.com if you suspect unauthorized use.

4. Membership Plans and Fees

GearSwitchr is free for individual users. Full marketplace access — including creating listings, messaging, search, the FFL Finder, and the reputation system — is available at no cost. Paid plans are available for licensed dealers and for the optional Founding Dealer tier, as described below.

Fees are billed in U.S. dollars and are non-refundable except as required by law. We may modify fees with 30 days' notice. "Lifetime" refers to the access level associated with the plan and does not guarantee perpetual uptime or future feature expansion.

5. User Content

"User Content" means any text, images, data, or other materials you upload or transmit through the Service.

You retain ownership of your User Content but grant GearSwitchr a worldwide, royalty-free, perpetual license to host, store, reproduce, modify (for formatting), publicly display, and distribute it for purposes of operating and improving the Service.

You represent that you have all rights needed to grant this license and that your User Content:

• Does not infringe any intellectual-property, privacy, or publicity right;
• Is not unlawful, defamatory, or obscene;
• Does not contain personal data of minors; and
• Complies with Section 6 (Prohibited Activities) and our Marketplace Rules.

We may remove User Content at any time in our sole discretion.

6. Prohibited Activities

You must comply with our Marketplace Rules and listing standards. You agree not to:

1. Violate any applicable law or regulation;
2. List or solicit the sale of firearms, ammunition, explosive devices, or regulated weapons;
3. Upload viruses, malware, or any code that could disrupt the Service;
4. Use automated scrapers, bots, or similar tools without our prior written consent;
5. Harvest personal information from other Users;
6. Interfere with another User's listings or transactions;
7. Impersonate any person or entity;
8. Use misleading titles, descriptions, or photos to manipulate search visibility; or
9. Engage in conduct that we determine, in our sole discretion, to be abusive, harassing, or detrimental to the community.

7. Marketplace Transactions

All sales are conducted directly between the buyer and the seller. GearSwitchr is not a payment processor, escrow agent, or shipping carrier.Buyers and sellers are solely responsible for complying with applicable laws, arranging payment and delivery, and resolving any disputes. We do not guarantee:

• the quality, safety, or legality of listed items;
• the truth or accuracy of User Content; or
• that a buyer or seller will actually complete a transaction.

8. Intellectual Property

The Service, including all software, design, and GearSwitchr trademarks, is owned by GearSwitchr or our licensors and is protected by U.S. and international intellectual-property laws. You may not copy, modify, distribute, or reverse-engineer any portion of the Service except as expressly permitted in these Terms.

9. Suspension and Termination

We may suspend or terminate your account, remove listings, or block access to the Service at any time for any reason, including violation of these Terms. Upon termination, Sections 7-13 of these Terms will survive.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEARSWITCHR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THE SERVICE WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE TOTAL FEES PAID BY YOU TO GEARSWITCHR IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless GearSwitchr and our affiliates, directors, officers, employees, and agents from any claims, damages, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. You agree that any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in Lee County, Florida, and you consent to personal jurisdiction and venue in those courts.

14. Changes to the Terms

We may revise these Terms from time to time. We will post the updated version on the Site and indicate the "Last Updated" date. Your continued use of the Service after any change constitutes your acceptance of the revised Terms. For material changes, we will also provide notice via in-app banner and/or email prior to the effective date, unless immediate changes are required by law or for security. For certain material updates, we may require you to re-accept the Terms when you next sign in.

15. State-Specific Notices

• California: Residents have rights under the California Consumer Privacy Act (as amended by the CPRA).
• Colorado, Connecticut, Utah, Virginia: State privacy rights are described in our Privacy Policy.
• Age restrictions: Some jurisdictions impose additional age or product-specific restrictions.
